Acceptance of terms
By accessing or using the Sagen platform, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
Description of services
Sagen provides a geospatial collaboration and analytics platform, including but not limited to spatial data management, address cleansing (Polis), geocoding, and related tools and APIs. Services are provided on a subscription basis as described in your applicable order form or plan.
Account registration
To access certain features, you must register for an account. You agree to provide accurate, complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Services or related systems
- Reverse engineer, decompile, or disassemble any part of the Services
- Interfere with or disrupt the integrity or performance of the Services
- Use the Services to store or transmit malicious code
- Resell or sublicense the Services without prior written consent
Data ownership
You retain all ownership rights to the data you upload, process, or generate through the Services ("Your Data"). You grant Sagen a limited, non-exclusive license to use Your Data solely as necessary to provide the Services to you. We will not access, use, or disclose Your Data except as necessary to provide the Services or as required by law.
Payment terms
Fees for the Services are as set forth in your applicable order form or subscription plan. All fees are non-refundable except as expressly stated in these Terms. We may update pricing with 30 days' prior notice. Failure to pay fees may result in suspension or termination of your account.
Termination
Either party may terminate the agreement at any time with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, you may request export of Your Data within 30 days, after which we may delete it.
Limitation of liability
To the maximum extent permitted by law, Sagen's total liability for any claims arising from your use of the Services shall not exceed the amounts paid by you in the twelve months preceding the claim. Sagen shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Changes to terms
We may modify these Terms at any time by posting the updated version on our website. Material changes will be communicated via email or in-platform notification. Your continued use of the Services after changes constitutes acceptance.
Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
